SHEFFORD & DISTRICT BUS ASSOCIATION: CONSTITUTION
  1. The name of the Association shall be ‘The Shefford & District Bus Association’ hereinafter called ‘the Association’.
  2. The object of the Association shall be to operate a reliable bus service to Bedford for pupils of Shefford & District attending the Harpur Trust and other independent schools in Bedford to enable children to be transported safely and punctually to and from each school.
  3. The Committee may admit as a Member of the Association any person intending their children to participate in the service.
  4. An Annual General Meeting of the Members of the Association shall be held within three months of the end of each financial year for the purposes of receiving the Annual Report of the Committee, of considering the Accounts and electing Honorary Officers.
  5. The Chairman or the Committee may at their discretion call an Ordinary General Meeting. The Secretary shall call an Ordinary General Meeting within 14 days of receiving a written request signed by not less than 5 Members.
  6. At the Annual General Meeting, Members of the Association shall appoint a Chairman, Secretary and Treasurer and such other Officers as they may decide. Casual vacancies amongst the Officers shall be filled by the Committee until the next annual appointment of Officers.
  7. The Association shall be managed by a Committee consisting of the Honorary Officers. The Committee may co-opt not more than 3 members to serve upon the Committee. Co-opted Members shall serve for such periods as the Committee shall decide.
  8. The Committee may exclude any child from further participation in the Service in the event of serious misbehaviour or for any other just cause. In this event all monies paid to the Association on behalf of the child are liable to be forfeited to the Association.
    1. The Chairman or person presiding over any Meeting shall have a second or casting vote.
    2. A quorum at any General Meeting of the association shall be 5 Members & at any Committee Meeting shall be 2 Officers.
    3. The Secretary shall keep Minutes of Meetings of the Association.
    1. The Financial Year shall run from 1 August to 31 July.
    2. The Treasurer shall keep proper Accounts of the finances of the Association.
    3. Members shall pay such subscriptions as the Committee may decide.
    4. Any income or property of the Association shall be applied solely towards the promotion of the Object of the Association (ref Clause 2) and no payment shall be made to any Member or Honorary Officer other than repayment of out of pocket expenses.
    5. At the end of each financial year the accounts may be audited by a Member of the Association.
  9. If the Committee decides on the grounds of expense or otherwise that it is desirable that the Association should be dissolved, it shall call a Special General Meeting by giving 21 days Notice in writing to each Member setting out the Terms of any Resolution to be proposed. If a simple majority vote decides that the Association’s affairs should be terminated, the Officers may dissolve of the Association. Any assets remaining after payment of liabilities shall be returned to the Members.
  10. This Constitution may be amended by simple majority vote at any General Meeting of the Association notified to Members in writing not less than 14 days in advance stating the proposed terms of the Resolution.
  11. Routine operation of the Association shall be in accordance with the Rules, which form part of the Constitution of the Association.
  12. In accepting Membership of the Association, each Member shall per se assume full responsibility for the behaviour of their children whilst travelling to and from School. Members shall indemnify the Association, its individual Officers and the Committee against any damage and consequences of such damage caused by their child or children participating in the service. This indemnity shall be without limitation and in particular shall cover death, permanent injury and damage or destruction of property.
  13. This Constitution was adopted at General Meetings held in October 1991 and November 1993. Minor re-wording and changes to accord with practical administration were approved at the November 1999 and November 2003 AGMs.
